Terms of Service
These terms govern access to and use of the Astro Breeze platform and services.
Effective date: October 28, 2026
1. About these terms
These Terms of Service ("Terms") are an agreement between you (the "Client") and Astro Breeze LLC ("Astro Breeze", "we", "us") governing your access to and use of the Astro Breeze platform, including multi-currency accounts, operational stablecoin wallets, conversion and payout services (the "Services"). By opening an account or using the Services, you accept these Terms.
Astro Breeze is not a bank. Fiat account and safeguarding services are provided through licensed partner banking institutions, and additional partner terms may apply to those services.
2. Eligibility and onboarding
The Services are offered to businesses and other organizations, not to consumers. You may use the Services only after successful completion of our business onboarding and know-your-business ("KYB") review, including verification of your entity, beneficial owners, and the purpose of your account. We may decline or discontinue any client relationship where required by law, our compliance program, or partner-bank requirements.
3. Your account
- You are responsible for the accuracy of all information you provide and for keeping it current.
- You must safeguard your credentials and API keys, and promptly notify us of unauthorized access.
- You may configure users, roles, approval policies and limits; actions taken under your credentials are deemed taken by you.
4. Fiat accounts and safeguarding
Fiat balances are held with licensed partner banking institutions and safeguarded in accordance with applicable partner-bank and regulatory requirements. Supported currencies, rails and cut-off times are described in your onboarding documentation and may change from time to time.
5. Stablecoin wallets and conversion
Operational wallets support designated stablecoins (currently USDC and USDT) on designated networks. Deposits are credited after applicable network confirmations. Conversion rates, fees and settlement times are displayed before you confirm a transaction and, once confirmed, are locked for that transaction. Digital-asset networks involve risks outside our control, including network congestion and protocol failure; we are not liable for such network-level events.
6. Payouts
Submitted payouts are subject to compliance review and to the operating rules of the selected rail. Timing shown for each rail is typical and not guaranteed. Once a payout is transmitted to a rail or network, it may be irrevocable; we will assist with recalls where the underlying rail permits.
7. Prohibited use
You may not use the Services for or on behalf of prohibited persons or in prohibited industries, including: sanctions-linked parties; unlicensed money transmission; unregistered securities or derivatives activity; illicit-goods marketplaces; and any activity that would cause us or a partner bank to breach applicable law. The current prohibited list is provided during onboarding and updated from time to time.
8. Fees
Fees, FX rates and volume bands are set out in your commercial agreement or displayed in the platform at the time of each transaction. displayed rates are final for confirmed transactions.
9. Suspension and termination
We may suspend or restrict the Services where reasonably required for compliance, security, or legal process. Either party may terminate with written notice subject to outstanding obligations; funds will be returned to a verified account of yours following completion of required checks.
10. Liability
To the maximum extent permitted by law, Astro Breeze's aggregate liability arising out of the Services is limited to the fees you paid to Astro Breeze in the six months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages, or for losses caused by events outside our reasonable control. Nothing in these Terms limits liability that cannot be limited by law.
11. Governing law and disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute in good faith; unresolved disputes are subject to the exclusive jurisdiction of the state and federal courts located in California.
12. Changes and contact
We may update these Terms with notice through the platform or to your registered email; continued use after the effective date constitutes acceptance. Questions: [email protected].
